CLEAN DIRECT INC. SUBSCRIPTION AGREEMENT

Parties: This Subscription Agreement ("Agreement") is entered into by and between Clean Direct Inc. ("Company", "we", "us") and the subscribing customer ("Subscriber", "you").

1. Subscription Plans

Clean Direct offers the following subscription plans:

  1. Pro Basic (FREE) – No cost; entry-level benefits.

  2. Pro Essentials – $199/year; enhanced benefits.

  3. Pro Elite – $499/year; our most comprehensive benefits.

The specific features, discounts, and services associated with each plan are described in our published subscription chart, which is incorporated into this Agreement by reference.

  • Product/Service/Rental Discounts: Pro Basic 2% • Pro Essentials 5% • Pro Elite 7%.
  • Volume Purchase Elite Points: Pro Elite earns 3% points*** (Basic/Essentials: Not included).
  • Local Delivery*: Basic – Not included • Essentials – Fee (min order) • Elite – Free (min order).
  • Priority Customer Support: Basic – Not included • Essentials – Priority response • Elite – Dedicated.
  • Local Meetups & Hands-on Training: Basic – Paid • Essentials – Discounted • Elite – Free.
  • Marketing & Sales Tools: Basic – Manuals & photos • Essentials – + Templates & guides • Elite – + Full Business Toolkit.
  • Cleaning Community Directory: Basic – Limited access • Essentials – Full access • Elite – Full access.
  • Rentals**: Available for all tiers where offered.
  • Access to Clean Chef AI: Included for all tiers.
  • Wholesale: Elite – Included (Basic/Essentials: Not included).
  • Goodbye Gum! Leads Access & Directory Listing: Elite – 30-mile radius (Basic/Essentials: Not included).
  • Goodbye Gum! Geo Research: Basic – No access • Essentials – Partial list • Elite – Full targeted list.

2. Term & Auto-Renewal

  • The subscription term is one (1) year from the Effective Date.

  • Auto-Renewal: Unless canceled in accordance with Section 6, your subscription will automatically renew for successive one-year periods at the then-current rate.

  • Renewal reminders will be sent to the email address on file at least 30 days prior to renewal.

3. Payment & Billing

  • Payment is due in full at the time of enrollment and at each renewal date.

  • All payments are processed via the payment method you provide.

  • If payment fails, we may suspend or terminate your subscription until payment is successfully processed.

4. Benefits & Limitations

  • Benefits vary by subscription level as shown in the incorporated plan chart and summary above.

  • Local Delivery* and Rentals** are only available where a Clean Direct store is located and may have minimum-order requirements.

  • Pro Elite Points*** are tallied annually in December and issued as an account discount.

  • Clean Direct may modify, substitute, or discontinue specific benefits at any time with reasonable notice.

5. Subscriber Responsibilities

  • Maintain an accurate email address and payment method on file.

  • Use subscription benefits only for lawful purposes and in compliance with all applicable laws.

  • Do not transfer or assign your subscription without prior written consent.

6. Cancellation Policy

  • You may cancel your subscription at any time through the Clean Direct online store or by providing written notice at least 30 days prior to the renewal date.

  • Cancellations take effect at the end of the current term.

  • Failure to cancel before renewal constitutes agreement to renew under the then-current terms.

7. Refund Policy

  • Subscription fees are non-refundable, including for unused time, except where required by law.

  • This policy prevents abuse of benefits during a partial term and ensures fairness to all subscribers.

8. Disclaimers & Limitation of Liability

  • Clean Direct does not guarantee uninterrupted access to subscription benefits and is not liable for delays or interruptions beyond our reasonable control.

  • Our liability to you is limited to the amount paid for your subscription in the current term.

9. Governing Law

  • This Agreement is governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict of laws principles.

10. Amendments

  • We may update this Agreement from time to time.

  • Continued use of subscription benefits after notice of changes constitutes acceptance of the revised terms.

* Local Delivery only available where a Clean Direct Store is located.

*** Points are tallied in December and added to your account as a discount.

By enrolling in a Clean Direct subscription, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
